1. Acceptance of Terms
By accessing or using the InventoryHub platform ("Service") operated by InventoryHub ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
2. Description of Service
InventoryHub is a cloud-hosted inventory and point-of-sale system that allows businesses ("Subscribers") to manage their operations. The Service includes:
- A web-based dashboard for point-of-sale billing, inventory management, and reporting
- Customer, product, and batch tracking with tax handling
- Barcode/QR label generation and thermal receipt printing
- Multi-branch management and role-based access control
- Hosting, maintenance, and delivery of the platform
3. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding agreement to use this Service. By signing up, you represent that you meet these requirements.
4. Account Registration
- You must provide a valid email address and create a secure password (or use a passwordless sign-in method).
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account and organization.
- You must notify us immediately of any unauthorized use of your account.
5. Subscription Plans and Billing
- Free Trial: New accounts receive a 14-day free trial. No credit card is required to start.
- Paid Plans (Hosted): After the trial, you may subscribe to a Starter ($49/mo), Professional ($149/mo), or Enterprise ($349/mo) hosted plan. Plans include a set number of locations and users; additional locations and users are billed at the per-unit rates shown at sign-up. Prices are subject to change with 30 days' notice.
- Custom Build: Self-hosted custom deployments are offered separately under an individual agreement and are not covered by these subscription terms.
- Billing: Hosted subscriptions are billed monthly or annually. By subscribing, you authorize recurring charges to your payment method.
- Cancellation: You may cancel your subscription at any time through the dashboard billing page. Access continues until the end of the current billing period. No partial refunds are issued for unused time within a billing period.
- Refunds: All subscription fees are non-refundable. When you cancel, your access continues until the end of the current billing period and no further charges are made. No partial or pro-rated refunds are issued for unused time within any billing period.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Store or process data that you do not have the right to use
- Attempt to gain unauthorized access to the Service or its infrastructure
- Interfere with or disrupt the Service for other users
- Upload malicious code, scripts, or content designed to exploit the platform
- Resell or redistribute the Service without our written permission
7. Your Data and Content
- Ownership: You retain ownership of all data you enter into the Service, including product catalogs, customer records, sales data, and inventory information ("Your Data").
- License: You grant us a limited license to host, process, and deliver Your Data solely to operate the Service on your behalf.
- Responsibility: You are solely responsible for the accuracy and legality of Your Data, including compliance with applicable laws and regulations.
- Backup: While we maintain daily backups, we recommend you keep your own copies of important data. We are not liable for data loss.
- Export: You may request an export of Your Data at any time by contacting us.
8. Regulatory Disclaimer
InventoryHub is a business management tool. It does not provide legal, tax, or regulatory advice. You are responsible for ensuring your business operations comply with all applicable federal, state, and local laws, including but not limited to business licensing and tax filing requirements. The tax calculations and reports provided by the Service are for convenience and should be verified by a qualified accountant.
9. Intellectual Property
- The Service, including its software, design, logos, and documentation, is the property of InventoryHub and is protected by copyright and intellectual property laws.
- Your subscription grants you a non-exclusive, non-transferable, revocable license to use the Service for your business purposes.
- You may not copy, modify, reverse-engineer, or create derivative works based on the Service.
10. Service Availability
- We strive to maintain high uptime but do not guarantee uninterrupted service.
- We may perform scheduled maintenance with reasonable advance notice.
- We are not liable for downtime caused by third-party services (hosting providers, payment processors, etc.).
11. Limitation of Liability
To the maximum extent permitted by law, InventoryHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Service.
Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless InventoryHub, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Termination
- We may suspend or terminate your account if you violate these Terms or engage in activity that harms the Service or other users.
- Upon termination, your access to the Service will cease. You may request an export of Your Data within 30 days of termination.
- You may request deletion of your account and data at any time by contacting us.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice on the dashboard at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of California, United States. Any disputes shall be resolved through binding arbitration in San Mateo County, California, in accordance with the rules of the American Arbitration Association.
